Rotulus Beta Test Agreement
Version 1.2 — 2026-10-12
This agreement is between Mathusek Technologies LLC, a Utah limited liability company at 10939 N Alpine Hwy PMB 119, Highland, UT 84003 ("Licensor", which includes any successor to whom this agreement is transferred under section 19), and the person who accepts it ("you" or "Tester"). It covers pre-release versions of Rotulus, the desktop teleprompter software for Windows and macOS, during the closed beta.
1. Words used in this agreement
- Beta Software: the pre-release versions of Rotulus that Licensor gives you during the beta, with their installers.
- EULA: the Rotulus End User License Agreement, published at https://rotulus.io/eula/.
- Privacy Policy: the Rotulus Privacy Policy, published at https://rotulus.io/privacy/.
- Beta End Date: the last day of the closed beta, as announced at https://rotulus.io. It is December 31, 2026, unless Licensor extends the beta, so the first day without the beta is planned for January 1, 2027 and will not be earlier than that date.
- Beta Period: from the day Licensor sends you your beta key through the Beta End Date, unless this agreement ends sooner (section 15).
- License Key: a key issued by Licensor to a named licensee and checked on your computer.
- Beta key: the free License Key that Licensor gives you for the beta (section 4).
- Present (and presenting): playing or showing a script for an audience, in present mode or otherwise.
- Tester License: the free 12-month license described in section 16.
Capitalized terms not defined here have the meaning the EULA gives them.
2. Who can be a tester
- You are 18 or older.
- You live in the United States, which in this agreement means the 50 states, the District of Columbia, US territories and APO/FPO addresses.
- You test as an individual. If you test on a computer that belongs to your employer or a client, or as part of your work for them, you confirm that you are allowed to install and use the Beta Software there, and you follow their rules for it. This agreement binds you personally. It binds your employer or client only if they also sign it.
Licensor relies on what you tell it about your age and where you live.
3. How you accept this agreement
- Licensor sends you this agreement by email. The email names the version and attaches a copy that you can keep and print. The attached copy is the same as the version published at https://rotulus.io/beta-agreement/ on the day Licensor sends it.
- You accept by replying to that email with the words "I agree". By replying, you agree to make this agreement by email, and your reply is your signature.
- Licensor sends the download link for the Beta Software, with your beta key (section 4), only after your reply.
- Licensor keeps a record of your acceptance: your name, the email address you replied from, the version you accepted, a copy of the file sent to you and the time Licensor sent it, and your reply, kept with its email headers and the time it arrived.
- When Licensor publishes a new version of this agreement, it tells you by email and sends you the new version in the same way. To keep testing, you must accept the new version in the same way: Licensor sends new beta builds only to testers who have accepted the newest version. The new version applies to you once you accept it. Until then, the version you accepted still applies to you. Licensor never treats your continued use of Rotulus as acceptance of a new version.
The newest version of this agreement is published at https://rotulus.io/beta-agreement/, with its version number and date.
4. What you get during the beta
Licensor gives you a free, personal, non-transferable, revocable license to install and use the Beta Software during the Beta Period, for any purpose, including paid shows. You may use it on computers you own or control, and on a client's or employer's computer that you are allowed to use. During the Beta Period, you can present or otherwise play back a script, use Show Sync and serve the live view in Share Script in a Browser with a free beta key, without buying a License Key. If you complete the beta, you also get a free Tester License (section 16).
Your beta key. After you accept this agreement, Licensor checks you against the US government's Consolidated Screening List, as it does before issuing any License Key, and then emails you a free beta key with the download link. A listed party gets no License Key, and this agreement then ends. The beta key is issued in your name and works on two computers at a time, like any License Key, in every version of Rotulus, beta and released, through the Beta End Date. If Licensor extends the beta while this agreement is in effect, and you have accepted its newest version, it emails you a new beta key that works through the new Beta End Date (section 15). Keep your beta key private, like any License Key (section 7).
The EULA also applies to the Beta Software. Where this agreement and the EULA conflict, this agreement controls, except for the EULA's export and sanctions terms (its section "Export and sanctions"), which always apply.
5. What you agree to do
You agree to:
- use the Beta Software in realistic ways, on the shows, rehearsals and computers you have (Windows, macOS or both);
- tell Licensor about problems you find, at support@rotulus.io, with the steps to reproduce a problem where you can and the version of the Beta Software you used; and
- follow section 6 (Talking about Rotulus in public) and section 7 (What stays private).
There are no required hours and no assigned tasks. You test on your own shows, in your own way and on your own schedule. You are not Licensor's employee, contractor or agent, and you cannot act or speak for Licensor.
6. Talking about Rotulus in public
You are welcome, and encouraged, to talk about Rotulus in public: to post, stream, review, rate and demonstrate it, with screenshots and video, and to say what you like and what you don't. Nothing in this agreement limits your honest opinions or reviews of Rotulus. Licensor will never withhold or withdraw your Tester License, or end this agreement, because of anything you say about Rotulus, good or bad.
When you talk about Rotulus in public, please follow these five rules:
- Say that you are a tester. In the post, video or talk itself, near the start, say that you are a Rotulus beta tester and that testers get a free license. For example: "I'm a Rotulus beta tester, and testers get a free license." Say it every time, on every platform, from your first post, even before you have a Tester License. A note in your profile alone is not enough. After the beta, while you use a Tester License, say that you were a Rotulus beta tester and received a free license.
- Never show client material. Use your own test content. Keep your clients' scripts, names, logos and show details out of every post, screenshot, stream and recording.
- Report security problems privately first, as section 7 explains.
- Don't share builds, download links or License Keys, as section 7 explains.
- Keep information that Licensor marks as private to yourself, as section 7 explains.
Please speak from your own use of Rotulus. During the beta, Licensor looks for public posts about Rotulus every two weeks and keeps a record of each check. If a post is missing the disclosure in rule 1, Licensor will ask you to add it. If Licensor sees a factual mistake about what Rotulus does, Licensor may tell you.
7. What stays private
Only these things are confidential:
- Builds, download links and License Keys. Licensor sends them to each tester directly. Don't share the Beta Software, its download links or any License Key with anyone, and don't post them.
- Private business information. Information about Licensor's business that Licensor marks as private in writing when it tells you, such as prices, dates and plans that have not been announced. It stays private until Licensor announces it, until it becomes public through no fault of yours, or for 12 months after Licensor tells you, whichever comes first.
- Security problems, for a limited time. If you find a security problem in Rotulus or on rotulus.io, report it privately to support@rotulus.io first. Please don't publish details that would let someone exploit it until it is fixed or 90 days after your report, whichever comes first. You may say at any time that you reported a security problem.
This section does not cover information that is public, or becomes public through no fault of yours; information you already knew or got lawfully from someone else; your own opinions, reviews and experience of Rotulus; or anything the law requires you to disclose.
Notice under the Defend Trade Secrets Act (18 U.S.C. 1833(b)). An individual is not held liable under any federal or state trade secret law for disclosing a trade secret (a) in confidence to a federal, state or local government official, directly or indirectly, or to an attorney, solely for the purpose of reporting or investigating a suspected violation of law; or (b) in a complaint or other document filed in a lawsuit or other proceeding, if that filing is made under seal.
8. Feedback
Apart from telling Licensor about problems you find (section 5) and the feedback call, which is needed only for the Tester License (section 16), you don't have to give feedback. "Feedback" means the suggestions, ideas, bug reports and comments you send Licensor directly, by email or in a feedback call. It does not include what you post in public.
You keep ownership of your feedback. You give Licensor a non-exclusive, irrevocable, worldwide, royalty-free license, for the full term of any rights in your feedback, to use, copy, change and build on it for any purpose, without payment or credit. This license covers your ideas and suggestions. It does not let Licensor publish your words, name, image or voice; that needs your separate written permission (section 10). You also keep ownership of your scripts and files.
9. Feedback calls and recordings
- The feedback call is about 20 minutes, on Zoom, at a time you book through Zoho Bookings. It is needed for the Tester License (section 16). Otherwise it is optional.
- Recording is optional. You can take the call, and earn the Tester License, without it being recorded.
- When you book the call, the booking page asks whether Licensor may record it. If you say no, Licensor does not record your call. If you say yes, Licensor records the call on its own computer, and Zoom shows its own recording notice to each person who joins. Licensor also asks for your consent at the start of the call, so that your answer is on the recording. If anyone else joins the call, Licensor asks them too.
- If anyone says no when asked, Licensor stops the recording and deletes the part already recorded. You can also ask Licensor to stop recording at any time during the call.
- Licensor uses a recording only to write notes about your feedback. Licensor saves the recording only on its own computer, in offline encrypted storage and never in a cloud-synced folder, and deletes it, with any backup of it, within 60 days after the call. Zoom's cloud holds no recording of your call. Licensor does not share a recording. A transcript made from a recording is treated the same way. Licensor does not put a recording, a transcript or its notes of your call into an AI tool, and recordings are not processed by AI tools. The only exception to deletion is a clip that you allow Licensor to keep under a Testimonial Release.
- Licensor keeps its notes of your call with your name until 90 days after the Beta End Date. After that, it keeps only feedback that does not name you.
- Licensor will not quote you in public from a call, or use any part of a recording in public, without your written permission in a Testimonial Release.
10. Testimonials and reposts
A testimonial is optional. Licensor uses your words, name, photo, logo, voice or video to promote Rotulus only with your separate written permission, given in a Rotulus Testimonial Release that names exactly what may be used and where. Every testimonial is shown with a note next to it saying that you are a Rotulus beta tester and that testers receive a free license, or, once your Tester License is issued, that you received one. Giving or refusing a testimonial never affects your Tester License. A Testimonial Release lasts 2 years unless you confirm it again by email, and you can withdraw a testimonial for future use at any time, as the Testimonial Release explains.
Reposts. Licensor reposts, quote-posts or shares one of your own public posts about Rotulus on Licensor's accounts only with your written OK for that post, given by email before it is shared (a one-line reply is enough). Each OK covers only the post it names. The repost keeps your disclosure next to it. Refusing never affects your Tester License.
11. Your scripts and files
- Rotulus keeps your scripts on your computer. Licensor does not receive them unless you choose to send them. Features that send a script to another computer or browser, such as Show Sync, send it only to the computers and browsers you connect, never to Licensor.
- Please don't send confidential client material in bug reports, emails or calls unless you have the right to share it. A short made-up sample that shows the same problem is ideal. If you do send a script or file, Licensor uses it only to help with your report and does not share it. Licensor deletes support emails, and anything attached to them, 3 years after they arrive or Licensor sends its reply.
- Automatic error reports are off until you turn them on. Rotulus asks whether to send them until you answer. You are welcome, but not required, to turn them on. Reports are designed to leave out your script text, your file and folder names, and your user and computer names. You can turn them off at any time in Preferences → General; Rotulus then deletes any report still waiting to be sent. The Privacy Policy, in its section "Automatic error reports", says what a report contains and who processes it.
12. Beta software can fail, especially at a live event
Beta Software is unfinished and may contain serious defects, including ones that lose or damage data or stop the display during a show. You agree:
- to keep your own backups of every script you use with the Beta Software;
- to rehearse with the Beta Software before relying on it; and
- not to use it as the only means of prompting at a live, paid or broadcast event. Keep a fallback that doesn't depend on the Beta Software, for example printed scripts or another prompting system. A second computer running the Beta Software, such as a Show Sync backup, does not count, because one defect can affect both computers.
This rule applies to you during the beta even where the support page at https://rotulus.io/support/ lists a backup computer as a fallback.
13. Support during the beta
Support is by email, as described at https://rotulus.io/support/. Licensor aims to reply to every request within 24 hours, weekends included. Reply times are goals, not promises. Requests about a show that is running now, or that starts within 24 hours, are read first, but no faster reply is promised. Licensor does not operate, attend or monitor your events, and does not promise that a problem will be fixed, or fixed by a particular time. Fixes arrive as new beta builds, and Licensor sends their download links by email. This section does not change section 12 (Beta software can fail, especially at a live event) or section 14 (No warranty; limit of liability).
14. No warranty; limit of liability
THE BETA SOFTWARE IS PROVIDED "AS IS", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST DATA, LOST PROFITS, LOST FEES OR ANY COST OF A CANCELED, DELAYED OR DISRUPTED EVENT, ARISING OUT OF OR RELATING TO THE BETA SOFTWARE OR THIS AGREEMENT. TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE BETA SOFTWARE OR THIS AGREEMENT IS LIMITED TO US $50.
NOTHING IN THIS AGREEMENT EXCLUDES OR LIMITS ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW, SUCH AS LIABILITY FOR FRAUD OR FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE.
15. The Beta Period and how it ends
- The closed beta is planned to start in November 2026 and runs through the Beta End Date. Your Beta Period starts when Licensor sends you your beta key.
- Licensor announces the Beta End Date at https://rotulus.io and tells testers by email when it is set or moved. It is December 31, 2026, and moves if Licensor extends the beta.
- Either party may end this agreement at any time by email.
- When the Beta Period or this agreement ends, the free beta license in section 4 ends. From then on, your use of Rotulus, including any beta build you still have, is governed by the EULA, as for any other user.
- If this agreement ends before the Beta End Date, whether you or Licensor ended it, your beta key keeps working through the Beta End Date under the EULA, unless Licensor ended this agreement because you breached it. In that case Licensor may withdraw your beta key, and no grace period follows.
- Apart from your beta key during the Beta Period (section 4), you need a valid License Key in every version of Rotulus to present or otherwise play back a script in any mode, to use Show Sync (on every computer that uses it) and to serve the live view in Share Script in a Browser. Opening, editing, importing and exporting files and linking Google Docs always work without a License Key, people who view or edit a script in a browser never need one, and a show that is already running is never stopped for a licensing reason.
- If Licensor extends the beta, it emails a new beta key that works through the new Beta End Date, which Licensor announces at https://rotulus.io and by email, to each tester whose agreement has not ended and who has accepted the newest version of this agreement; that tester can keep using Rotulus as section 4 allows, without buying a License Key, until then.
- These sections continue after this agreement ends: 6 (Talking about Rotulus in public), 7 (What stays private), 8 (Feedback), 9 (Feedback calls and recordings), 10 (Testimonials and reposts), 11 (Your scripts and files), 12 (Beta software can fail, especially at a live event), 14 (No warranty; limit of liability), 16 (The Tester License), 18 (Law and courts) and 19 (General).
16. The Tester License
- How you earn it. You complete the beta when you have used the Beta Software on at least one real show or full rehearsal during the Beta Period and taken part in one feedback call with Licensor (about 20 minutes). The call counts if it is held during the Beta Period, or if you booked it on or before the Beta End Date and it is held within 14 days after the Beta End Date. Licensor confirms completion to you by email.
- When it is issued. You do not have to wait for the call. Once you have used the Beta Software on a real show or full rehearsal during the Beta Period and booked a feedback call that can count under item 1, tell Licensor: Licensor confirms both by email and issues the License Key within one business day of that confirmation. If you have done both on or before the Beta End Date, Licensor issues it on or before the Beta End Date. If the call is then not held, the Tester License may be withdrawn (item 8). Before issuing it, Licensor checks the person or organization it is issued to against the US government's Consolidated Screening List, as it does before issuing any License Key; a listed party gets no License Key.
- What it is. An Annual License under the EULA, issued in your name as a Personal License, on the same terms as a purchased one: only you may use it, on any two computers at a time, including a client's or employer's computer while you work for them, and you remove the License Key from a computer you don't own when the job ends. If your employer's rules don't allow you to accept the Tester License, tell Licensor, and Licensor issues it to your employer as an Organization License instead, with the same 12 months of access; it then follows the EULA's rules for an Organization License, except that item 6 still applies.
- 12 months of access. For 12 months from the day the License Key is issued, it covers presenting, Show Sync, the live view in Share Script in a Browser, and updates. Licensor emails a reminder 30, 7 and 1 day before the key expires, and during the last 30 days Rotulus also shows a reminder in edit mode each day. For 14 days after it expires, you may keep presenting, using Show Sync and serving the live view; Rotulus shows a banner asking you to renew. After those 14 days, presenting, Show Sync and the live view need a renewed key, while opening, editing, importing, exporting and linking Google Docs keep working. A show that is already running is never stopped for a licensing reason. Unless you renew it, the Tester License gives no right to present, use Show Sync or serve the live view after it expires and the 14 days of grace have ended.
- Renewal. You can renew at any time at the standard renewal price, currently $149, stated in the Terms of Sale at https://rotulus.io/terms-of-sale/. A renewal is bought by hand and is never charged automatically. It adds 12 months to the key's current expiry date, so renewing early loses no time. If the key has already expired, the 12 months start on the day you buy the renewal. A renewal can be refunded within 14 days under the Rotulus Terms of Sale.
- One per tester. The Tester License cannot be transferred, sold or exchanged for money. There is one per tester.
- It never depends on what you say. You get it whether or not you post, review or give a testimonial, and whatever you say about Rotulus.
- When it can be withheld or withdrawn. Before Licensor issues the Tester License, Licensor may withhold it only if you shared the Beta Software, a download link or a License Key in breach of section 7, or where the EULA's export and sanctions terms require it. After it is issued, Licensor may refuse or withdraw it only if the check in item 2 finds a listed party, if no feedback call is held by the last day on which a call can count under item 1 (or by a later date Licensor agrees to by email), or on the grounds on which the EULA allows any License Key to be withdrawn. Missing a booked time is not enough on its own: you can book the call again before that day, and Licensor reminds you by email before it. Licensor never withholds, refuses or withdraws it because of anything you say about Rotulus.
- If the beta or this agreement ends first. If the Beta End Date comes after your show but before your feedback call, a call held as item 1 allows still completes the beta. Otherwise, no Tester License is due if this agreement ends before you have done your show or rehearsal and booked the call. But if Licensor ends this agreement for a reason other than a breach of section 7 after you have used the Beta Software on a real show or full rehearsal, Licensor still offers you the feedback call, and the Tester License is due once the call is booked. Once the Tester License has been issued, it stays yours if this agreement ends later, unless it is withdrawn under item 8.
- Taxes. You are responsible for any taxes that apply to you on the Tester License.
17. Your information
The Privacy Policy describes the information the beta involves: your beta application, if you sent one; the record of your acceptance (section 3); the record of your beta key, with the screening check made before it is issued (section 4); your feedback-call booking through Zoho Bookings and the Google Calendar connected to it, with your answer about recording, and the notes and any recording of the call (section 9); the record of your show or rehearsal, your booking and your completion of the beta; your Tester License record; Licensor's record of the public posts about Rotulus it checks (section 6); any written OK you give for a repost (section 10); automatic error reports, if you turn them on; and any testimonial you allow. It also says how long each is kept and how to ask to see, correct or delete it. Privacy requests go to privacy@rotulus.io.
18. Law and courts
This agreement is governed by the laws of the State of Utah, USA, without regard to its conflict-of-laws rules. Any dispute about it will be decided only by the state and federal courts located in the State of Utah, and both parties consent to their jurisdiction. Either party may instead bring an individual claim in a small-claims court that has jurisdiction over it, including one in the county where you live. Nothing in this agreement limits any right you have under the consumer protection laws of the place where you live that cannot be waived or limited by contract.
19. General
- Whole agreement. This agreement, together with the EULA, is the whole agreement between you and Licensor about the beta. If you accept a new version of it, the new version replaces this one from the moment you accept it. A Testimonial Release, if you give one, is a separate agreement.
- Changes. A new version applies to you only once you accept it (section 3). Any other change must be agreed in writing by you and Licensor; email counts. Licensor may waive any of its own rights by email.
- If a part is unenforceable, the rest still applies.
- Transfer. You may not transfer this agreement. Licensor may transfer it, together with Rotulus, to a company Licensor controls or to anyone who acquires Rotulus. Licensor will post a notice of the transfer at https://rotulus.io and tell you by email.
- Contact. Licensor writes to the email address you accepted from. You can write to Licensor at support@rotulus.io (support and legal notices), at privacy@rotulus.io (privacy requests) or at beta@rotulus.io (the beta itself), or by mail at the address at the top of this agreement.
