Rotulus Terms of Sale

Version 1.0 — effective 2026-10-12

These Terms of Sale explain how you buy a Rotulus license, what you get, how your key reaches you and how refunds work. They include our 14-day Refund Policy, in its own section below. Licenses are not on sale yet. These Terms apply from the first sale.

Summary

  • You buy from Mathusek Technologies LLC, a Utah limited liability company that will sell Rotulus licenses from the first sale.
  • Rotulus is licensed, not sold. What you buy is a license to use it, delivered as a License Key. What you may do with Rotulus is set by the Rotulus End User License Agreement (the EULA), which is part of these Terms.
  • From the first sale, we will sell only to customers in the United States, in US dollars, through Stripe.
  • An Annual License gives you 12 months of presenting, Show Sync and the live view in Share Script in a Browser, from the day its key is issued, with every version of Rotulus. You can renew it for 12 more months at any time. A Lifetime License has a key with no end date. It presents with every version released up to the end of its Update Period: 3 years from purchase, or longer if you buy Update Years.
  • A Personal License is for one named person. An Organization License is for an organization's staff, including its individual contractors. Each key works on two computers at a time.
  • There is no free tier. Presenting or any other playback of a script, Show Sync and the live view in Share Script in a Browser need a valid License Key, in every version of Rotulus. You can always open, edit, import and export without one.
  • We email your key within one business day of payment, usually the same day.
  • You can get a full refund of a purchase within 14 days of the purchase date, without giving a reason, once per person and per organization in any 12 months; after that, for the rest of those 12 months, only for a fault in Rotulus. A refund ends the license. A Show Pass that has already started has its own rule.
  • Nothing renews automatically. We never charge your card again unless you place a new order.
  • Rotulus comes without warranties, and our liability is limited, as explained below and in the EULA.

If this summary and a section below say different things, the section below applies.

Who sells Rotulus

In these Terms, "Licensor", "we" and "us" mean Mathusek Technologies LLC, a Utah limited liability company that will sell Rotulus licenses from the first sale, at 10939 N Alpine Hwy PMB 119, Highland, UT 84003, and any successor to whom these Terms are transferred under "General" below. "You" means the person or organization buying.

What these Terms cover

These Terms apply to every Rotulus license you buy from Licensor, whether through the Buy button at rotulus.io, through a payment link we email you or by Stripe invoice, and to the free Trial Keys we issue on request.

"Rotulus" means the Rotulus teleprompter app for Windows and macOS.

Your use of Rotulus is governed by the Rotulus End User License Agreement at https://rotulus.io/eula/ (the "EULA"). The EULA is part of these Terms by reference: when you agree to these Terms, you also agree to the EULA. If these Terms and the EULA differ about what you may do with Rotulus, the EULA applies. If they differ about buying, paying, delivery or refunds, these Terms apply.

Rotulus is licensed, not sold. When you buy, you get a license to use Rotulus under the EULA. You do not buy the software itself.

The Rotulus Privacy Policy at https://rotulus.io/privacy/ explains what we keep about your purchase and why.

Who can buy

  • Customers in the United States only. From the first sale, we will sell only to customers in the United States, which in these Terms means the 50 states, the District of Columbia, US territories and APO/FPO addresses. Prices are in US dollars (USD). You need a billing address in the United States. An order from outside the United States gets no key and is refunded in full (see below).
  • Age and authority. You must be 18 or older to buy. If you buy for an organization, you must be 18 or older and able to bind the organization to these Terms. Someone under 18 may use Rotulus when a parent or guardian, or the organization they use it for, accepts the EULA for them.
  • US export and sanctions rules. You may not buy a license if you appear on a US government restricted-party list, or if you are in, or buy for use in, a country or region under US embargo, sanctions or export restrictions. These include Cuba, Iran, North Korea, Syria, Russia, Belarus, and the Crimea, Donetsk and Luhansk regions of Ukraine.

Before we issue any key, including a free Trial Key, beta key or Tester License, we check the person or organization it is issued to, and anyone who pays for it, against the US government's Consolidated Screening List. If any of them is on that list, if an order comes from outside the United States, or if we cannot fill an order under US law, we do not issue a key. We refund any payment in full, unless US law requires us to hold it. If we have already issued a key, we withdraw it.

The Rotulus download page and installers are intended for visitors in the United States. The rest of rotulus.io, and the file that Rotulus's online check downloads, can be reached from any country. If you are a customer, a Trial Key holder or a beta tester and cannot reach the download page, for example while you are abroad, write to support@rotulus.io.

Personal License

A Personal License is issued to one named person. Only that person may use it, on any two computers at a time (for example, a show computer and its backup), including a computer owned by a client or employer while working for them. When that work ends on a computer the person does not own, they must remove the key from it. A Personal License is either an Annual License or a Lifetime License.

Organization License

An Organization License is issued to a named company or other organization. Its staff, including individual contractors while they work for it, may use each key on up to two computers at a time, including a client's computer while they work on it. When the job ends, they must remove the key from the client's computer. The organization may move the license between its staff and computers at any time. The key is issued in the organization's name, and Rotulus shows that name. An Organization License is either an Annual License or a Lifetime License.

Annual License

An Annual License, Personal or Organization, lets you present, use Show Sync and serve the live view in Share Script in a Browser for 12 months from the day its key is issued. During those 12 months the key works with every version of Rotulus, including new versions we release in that time. The 12 months start when the key is issued. We do not promise a release schedule, or any particular update, feature or fix.

When the 12 months end, the right to present, use Show Sync and serve the live view with that key ends too, in every version of Rotulus, apart from the 14-day grace period (below). You can still open, edit, import and export your scripts. To keep presenting, buy a renewal.

Reminders and grace period. For every Annual License:

  • We email you a reminder 30, 7 and 1 day before your key expires, to the email address on file, and during the last 30 days Rotulus also shows a reminder in edit mode each day.
  • For 14 days after the key expires, you may keep presenting, using Show Sync and serving the live view with it; Rotulus shows a banner asking you to renew.
  • After those 14 days, until you renew, you can only open, edit, import and export your scripts.
  • A show that is running when the key or the grace period ends is not stopped because of that.

The 14-day grace period does not apply to Trial Keys, Show Passes or beta keys.

Renewals

You can renew an Annual License or a Tester License at any time. A renewal costs $149 per key (see "Prices"). You buy it yourself, and it is never charged automatically. A renewal adds 12 months to your key's current expiry date, so renewing early loses no time. If your key has already expired, the 12 months start on the day you buy the renewal. We send you a new key with the new expiry date. A renewal does not withdraw the key you already have. Like any purchase, a renewal can be refunded within 14 days (see "14-day Refund Policy").

Lifetime License

"Lifetime License" means a Personal License or an Organization License whose key has no end date. You may present, use Show Sync and serve the live view in Share Script in a Browser, with no time limit, with any version of Rotulus released on or before the last day of your Update Period, on any computer that can run that version, within the two-computer rule of your license. Your Update Period is 3 years from the purchase date. Each Update Year you buy extends it by 12 months, at the renewal price at the time (currently $149). "Lifetime" describes how long your key works: the key has no end date. It does not refer to your life, the life of an organization or the life of Licensor. It is not a promise that Rotulus will be sold, updated or supported for any period, or that any version will run on future operating systems.

After your Update Period ends, your key keeps presenting with every version released on or before its last day. If you ask us by email at support@rotulus.io, we send you a download link for the latest version your key covers. Versions released later still open, edit, import and export your scripts, but presenting, Show Sync and the live view in them need a key whose Update Period covers them. You can buy an Update Year at any time. If your Update Period has already ended, the 12 months of a new Update Year start on the day you buy it. Each Update Year comes as a new key with the new last day of your Update Period, and it does not withdraw the key you already have.

Like any license, a Lifetime License ends on a refund, on a disputed payment not decided in our favor, or as the EULA provides.

Show Pass

A Show Pass is a License Key with a fixed end date. It costs $79 USD for 7 days or $149 USD for 30 days, and it works on two computers at a time. It follows the Personal License rules if it is issued to a person, and the Organization License rules if it is issued to an organization.

  • When you buy, you choose the day it starts: the day you buy or a later day. It starts on the later of that day and the day we send your key, so it never runs while you wait for the key.
  • It runs for 7 or 30 calendar days and ends at 11:59 p.m. on the last day, in your local time.
  • It never renews and cannot be transferred.
  • No grace period extends it.
  • A show that is running when the pass ends is not stopped because the pass ended.
  • After it ends, you can still open, edit, import and export your scripts. Presenting, Show Sync and the live view need another key.

Show Pass credit. What you paid for Show Passes in the 12 months before you buy an Annual License or a Lifetime License counts toward that license's price, up to its full price. The credit from each pass ends 12 months after the day you bought that pass. There is no fee. To use the credit, write to support@rotulus.io before you buy the license, and we apply it as a discount at checkout. Credit has no cash value.

Trial Key

A Trial Key lets one named person try Rotulus for 14 days, free. It follows the Personal License rules: only that person may use it, on any two computers at a time.

  • Ask us at support@rotulus.io with your name and email address, and your organization's name if you like.
  • You must be 18 or older and live in the United States.
  • Before we issue it, we make the screening check described in "Who can buy".
  • We do not ask for payment details, and a Trial Key never turns into a paid license.
  • It works for 14 days, counting the day we issue it, until 11:59 p.m. on the 14th day, in your local time, and no grace period extends it. When it ends, presenting, Show Sync and the live view need a License Key; your scripts stay usable.
  • We issue one Trial Key per person and per organization. We may extend a Trial Key or issue another at our discretion.
  • It cannot be transferred.

Tester License

A Tester License is a Personal License given free to a beta tester who completes the closed beta: one real show or full rehearsal, plus a feedback call of about 20 minutes. If the tester's employer does not allow its staff to accept gifts from vendors, we may issue it to the employer as an Organization License instead. It works like an Annual License for 12 months from the day it is issued, and it can be renewed like one. We issue it within one business day of confirming that the tester has done the show or rehearsal and booked the feedback call, after the screening check described in "Who can buy", and before the closed beta ends for anyone who has done both by then. If the call is then not held as the Rotulus Beta Test Agreement requires, we may withdraw the Tester License. It is not sold and cannot be transferred. The Rotulus Beta Test Agreement explains how it is earned and issued, including what happens if the beta ends before the feedback call.

What a License Key does

A License Key is a code issued to a named licensee. Rotulus checks it on your computer and shows the licensee's name in the About Rotulus window. The EULA sets out the full license terms.

What needs a key. There is no free tier, including for personal, educational and nonprofit use. You need a valid License Key to:

  • present (play or show a script for an audience, in present mode or otherwise) or otherwise play back a script in any mode;
  • use Show Sync, on every computer that uses it, including editor stations (each such computer needs its own key, or must be one of the two computers that a key covers);
  • serve the live view of a script to browsers with Share Script in a Browser.

Opening, editing, importing and exporting scripts, and linking Google Docs, always work without a key. People who view or edit a script in a browser through Share Script in a Browser never need a key.

The key lock. Every version of Rotulus contains a key lock that enforces these rules:

  • without a valid License Key, the uses listed above are unavailable;
  • a show that is already running is never stopped because a key ends, is removed, is missing or stops being accepted;
  • if a computer had a valid key in the last 3 days, and that key is missing there or cannot be read, or we withdrew it because we replaced it (for example, when we moved a lost key to a new email address) or because it became public, Rotulus gives that computer a 3-day grace period, with a banner, while you enter the key again or the new key;
  • a key withdrawn for any other reason, such as a transfer to another person, a refund or a disputed payment not decided in our favor, gets no grace period, and neither does a key you remove yourself, for example with Remove License in the About Rotulus window;
  • neither the 3-day grace period nor an Annual License's 14-day grace period extends a Show Pass, a Trial Key or a beta key past its end date.

Beta testers. During the closed beta, we email each beta tester a free beta key, as the Rotulus Beta Test Agreement describes. With it, a tester can present or otherwise play back a script, use Show Sync and serve the live view in Share Script in a Browser without buying a key, on two computers at a time, in every version of Rotulus, beta and released, through December 31, 2026, the last day of the closed beta. The first day without the closed beta is planned for January 1, 2027 and will not be earlier than that date. If we extend the closed beta, we announce its new last day at rotulus.io and by email, and we email testers new beta keys that work through that day. A tester who completes the closed beta gets a Tester License (see "Tester License").

The online check. Every version of Rotulus makes an online check: when the computer is online, about once a day, never within 20 hours of the last check, Rotulus downloads a small file from rotulus.io, signed by us, that lists the latest version of Rotulus and the license numbers of the keys we have withdrawn (never a name or email address; anyone can open the file), and compares it with your key on your computer.

  • The check sends no License Key, name or email address. Like any web request, it shows rotulus.io your IP address and the Rotulus version.
  • When a new version is available, Rotulus shows a note in edit mode with a link to the download page. You install updates yourself.
  • If the check finds that your key has been withdrawn (for example after a refund, a disputed payment not decided in our favor, a transfer, a lost key we replaced, or a key that has become public), presenting, Show Sync and the live view with that key stop the next time Rotulus starts, never during a show; a lost key we replaced, or a key that became public, first gets the 3-day grace period, and the old key of a transfer does not (see "The key lock"). If a key became public without any breach of the EULA by the licensee, we issue the licensee a new key at no charge.
  • If the check cannot run or fails, nothing changes. Rotulus does not need the check to present.
  • The check is on by default, and you can turn it off in Preferences. With the check off, a withdrawn key can be refused only by a later version of Rotulus that lists its license number.

If you lose your key, we re-send it by email (see "Delivery of your License Key"). To try Rotulus, use a Trial Key or the 14-day Refund Policy.

If Rotulus does not accept your key, write to us.

The Annual License prices in this table apply from the day these Terms take effect through November 30, 2026, and from January 1, 2027.

December 2026. During December 2026, Annual Licenses have a December price:

Annual LicensePrice per key in December 2026
Personal$499 until December 31; $599 from January 1
Organization, 1 or 2 keys in one order$649 until December 31; $749 from January 1
Organization, 3 or 4 keys in one order$574 until December 31; $674 from January 1
Organization, 5 to 9 keys in one order$499 until December 31; $599 from January 1
Organization, 10 or more keys in one order$424 until December 31; $524 from January 1

The December price ends at 11:59 p.m. Mountain Time on December 31, 2026, and the prices in the first table apply from January 1, 2027, except that a written quote keeps its price for 30 days (see "Quotes and invoices"). That change does not depend on when the closed beta ends. A license bought at the December price is the same license as at any other time, with the same 12 months from the day its key is issued. There is no December price for Lifetime Licenses, renewals, Update Years or Show Passes.

Upgrading to a Lifetime License. If you hold an Annual License, you can move to a Lifetime License at any time. The upgrade price is the Lifetime License price minus a credit: what you paid us in the 12 months before the upgrade for that Annual License, its renewals and any Show Passes for the same licensee. Sales tax and refunded purchases do not count, nothing is counted twice, and the credit is never more than the Lifetime License price. Write to support@rotulus.io, and we send you a payment link for the upgrade price. After you pay, we send you a Lifetime License key in the same name, which replaces your Annual License key.

Price changes. We may change prices for future purchases. We publish a new price at https://rotulus.io/pricing/ before it applies. A price change never changes an order you have already paid, or the price of a written quote within its 30 days.

Taxes. Prices do not include sales tax. If we collect sales tax on your purchase, it is shown at checkout or on the invoice, and on your receipt. We add no card, processing or other fees.

Discounts on request. Schools, nonprofits and houses of worship can ask for a discount. Write to support@rotulus.io with your organization's name and a document that shows its status. We decide each request case by case. A discounted license is an Organization License issued to the institution.

Quotes and invoices. An organization can ask for a written quote by email at support@rotulus.io. Orders of 10 or more keys are sold by quote and Stripe invoice. A quote names the licensee and the licensee's email address for each key, and where we send that key, and keeps its price for 30 days from the date on it, even if our prices change or the December price ends in that time. Payment is always made through a Stripe payment link or a Stripe invoice, and we issue keys only after the payment is made. We do not offer pay-later terms.

How buying works

  • Payment. Payment is handled by Stripe. You pay on a checkout or invoice page run by Stripe, not on rotulus.io, and Stripe processes the payment. Stripe also uses payment data for its own purposes, such as preventing fraud, under its own privacy policy.
  • Agreeing to these Terms. At checkout you must tick a box that reads "I agree to the Rotulus Terms of Sale, including its 14-day Refund Policy, and the End User License Agreement." You cannot pay without ticking it. If you buy by invoice, you accept these Terms and the EULA when you accept our written quote, which links to both. We keep a record of which versions of these Terms and the EULA you accepted.
  • The name and email address on the key. Checkout asks for the name to put on the key (the person's name for a Personal License, or the organization's name for an Organization License) and for the licensee's email address, which the key carries. It is your own email address unless you enter another. If you enter another, you also choose where we send the key: to the licensee, or to you so that you can pass it on. If the name or the address is wrong, write to us and we will correct it.
  • Buying for someone else. You may buy a license or a Show Pass for another person or organization. Put their name and email address on the key: they are the licensee. We send the key to them or to you, as you chose at checkout, and we send reminders and notices about the license to them. A refund goes to whoever paid. It withdraws the licensee's key, and we tell the licensee by email.
  • When the purchase is complete. Your purchase is complete when Stripe confirms your payment. The purchase date is the date on your Stripe receipt.
  • Receipt. Stripe emails you a receipt. The receipt is not your License Key: your key comes in a separate email from us.
  • Your card statement. The charge appears on your card statement under the name set in our Stripe account. If you do not recognize it, write to support@rotulus.io before you dispute it with your bank.
  • Orders we cannot accept. If we cannot accept an order, we refund it in full, as explained in "Who can buy".

Delivery of your License Key

We email your key within one business day of payment, usually the same day. We send it to the licensee's email address on your order, or to yours if you chose that at checkout (see "How buying works"). A business day is Monday to Friday, except US federal holidays.

If your key has not arrived. First check your spam or junk folder. Then write to support@rotulus.io from the address on your order, or include the order number from your receipt. If we have not sent your key within one business day of payment, you may cancel the order for a full refund at any time until the key arrives.

Lost keys. If you lose your key, we aim to re-send it within one business day to the email address on file for the license. If you can no longer use that address, write to support@rotulus.io. Once you prove the order, for example with your Stripe receipt or a reply from the old address, we send a new key to your new address and withdraw the old key.

Automatic delivery. At first we send keys by hand. By January 2027 we plan to send keys automatically right after payment, and to let you have a key re-sent without waiting for us. Automatic re-sends go only to the email address on file. We will update these Terms when that starts.

14-day Refund Policy

You can get a full refund of a purchase if you ask within 14 days: by the end of the 14th day after the purchase date (the "refund period"). There are two limits: a Show Pass that has already started (see "Show Passes" below), and one refund without a reason per person and per organization in any 12 months (see "One refund without a reason in 12 months" below).

How to ask. Email support@rotulus.io before the refund period ends, which is at 11:59 p.m. Mountain Time on the 14th day after the purchase date on your Stripe receipt. Write from the address on your order, or include your order number. You do not need to give a reason, except as "One refund without a reason in 12 months" explains.

What you get back. We refund the full amount you paid, including any sales tax, to the original payment method. We issue the refund within 5 business days of receiving your request. There is no fee. Refunds are always in full; we do not give partial refunds. Purchases at the December price can be refunded in the same way.

What happens to your license. A refund ends the license on the date of the refund, including the rest of an Annual License's 12 months, and the email confirming the refund is our notice that the key is withdrawn. You must stop using the key and remove it from Rotulus with Remove License in the About Rotulus window. You can still use Rotulus in the ways the EULA allows without a key. Once the online check sees that the key is withdrawn, presenting, Show Sync and the live view with it stop the next time Rotulus starts, never during a show (see "What a License Key does"). Later versions of Rotulus may also refuse a withdrawn key. A refund does not switch off a copy of Rotulus whose online check is turned off, but the license still ends.

One refund without a reason in 12 months. We give one refund without a reason per person and per organization in any 12 months, counted from the date of that refund. It counts against the person or organization that paid and against the licensee. After it, for the rest of those 12 months, we refund a purchase within its refund period only for a fault in Rotulus: a problem stopped you presenting with a valid key, unless we show that the problem did not come from Rotulus. These refunds do not count as the one without a reason: a refund for a fault in Rotulus, a refund of an order we cannot fill, a cancellation because your key did not arrive in time (see "Delivery of your License Key"), and a refund of the wrong edition when you buy the right one within its refund period.

Renewals and Update Years. A renewal or an Update Year can be refunded like any other purchase, within its own refund period. Only the new key is withdrawn: your earlier key keeps the expiry date or Update Period it had before.

Upgrades. If you get a refund of an upgrade to a Lifetime License, we withdraw the Lifetime License key and send you an Annual License key with the expiry date your Annual License had.

Show Passes. A Show Pass is refunded in full on request within the refund period if it has not started yet. Once it has started, we refund it within the refund period only if Rotulus did not work as described, which means that a problem stopped you presenting with a valid pass, unless we show that the problem did not come from Rotulus. This is a refund rule, not a warranty.

The wrong edition. If you bought the wrong edition, ask for a refund within the refund period and buy the right one.

Free keys. Trial Keys and Tester Licenses are free, so there is nothing to refund.

Orders we cannot fill. An order from outside the United States, or one we cannot fill under US law, is refunded in full unless US law requires us to hold the payment, as explained in "Who can buy".

Chargebacks and disputed payments. Please write to us before you dispute a charge with your bank or card issuer: within the refund period we refund on request. While a dispute is open, we note it with the transaction record and do not withdraw the key. If a payment is returned to you through a dispute or chargeback that is not decided in our favor, we treat it like a refund: the license ends and the key is withdrawn. A key paid for by fraud, for example with a stolen card, is withdrawn at once.

Your rights. This policy does not limit any right the law gives you.

Nothing renews automatically

Renewal is optional and never automatic. We will never charge your card again unless you place a new order. The same is true of Update Years. We do not store your card to charge it later, and Show Passes and Trial Keys end on their own and never turn into a paid purchase.

Transfers

  • Personal License. You may transfer it once to another person. Write to us; we issue a key in the new name and withdraw the old one. There is no fee.
  • Organization License. The organization may move it between its own staff and computers at any time. A move to another organization, for example when a company is sold, is made on request.
  • The old key. When a license is transferred, we withdraw the old key at once. The 3-day grace period described in "The key lock" does not apply to it.
  • A license someone else paid for. A Personal License belongs to the person named on it, even if an employer paid for it. An employer that wants a license it keeps should buy an Organization License.
  • Show Passes, Trial Keys and Tester Licenses cannot be transferred.

Support

Support is by email, as described at https://rotulus.io/support/. Reply times are goals. The EULA's "Support" section explains what support covers.

What we keep about your purchase

We keep these records so that we can deliver and re-send keys, handle refunds and disputes, keep to one Trial Key per person and per organization, keep tax records, and meet US sanctions record-keeping rules:

  • Transaction record: the buyer's name, the order number, date, amount, sales tax, the state of sale, the refund or dispute status, Stripe's reference numbers, the versions of these Terms and the EULA you accepted, and the result of our restricted-party check. We keep it for 10 years from the purchase.
  • License record: the licensee's name, email address and organization (if any), the license number, the edition (Personal or Organization; Annual or Lifetime), the number of computers, the issue date, the expiry date or the last day of the Update Period, whether the key has been withdrawn, and a copy of the key so that we can re-send it. We keep it while the license can be used or re-sent. You can ask us to delete it by writing to privacy@rotulus.io. We then remove the name, email address and organization and the copy of the key from it, and keep the license number, the kind of key, its dates and any withdrawal of the key, so that a withdrawn key stays withdrawn. After that we can no longer re-send the key, but the transaction record stays.
  • Trial Key record: the name, email address and organization (if any) of the person who asked, the license number, the issue and end dates of the key, a copy of the key, and the result of our restricted-party check. We keep it for 2 years after the key ends. Then, or sooner if you ask us to delete it, we remove the name, email address, organization, copy of the key and screening result from it, and keep the license number, the kind of key, its dates and any withdrawal of the key.

Stripe keeps your card details. We can see your billing address in our Stripe account. We use it to record the state of sale and to confirm that the order comes from the United States, and we copy only the state into our records. Your key also contains the licensee's name and email address, and Rotulus stores the key on your computer. The Rotulus Privacy Policy explains this in full, with your choices.

Warranty and liability

Rotulus is used at live events, where any computer, display or network can fail without warning. The EULA explains your responsibility for rehearsing and keeping a fallback, and its "Disclaimer of Warranties" and "Limitation of Liability" sections apply to every purchase. In plain words: we do not promise that Rotulus will work without errors or suit your particular show, and if something goes wrong, the most we owe you is limited as follows.

TO THE EXTENT THE LAW ALLOWS, ROTULUS IS PROVIDED "AS IS" AND WITHOUT WARRANTY OF ANY KIND, AND LICENSOR DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

TO THE EXTENT THE LAW ALLOWS, LICENSOR IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, FOR ANY LOSS OF PROFITS, REVENUE, BOOKINGS, FEES, GOODWILL OR DATA, OR FOR THE COST OF A CANCELED, DELAYED OR DISRUPTED EVENT. LICENSOR'S TOTAL LIABILITY UNDER THESE TERMS AND THE EULA TOGETHER, FOR ALL CLAIMS ARISING OUT OF OR RELATING TO ANY PURCHASE UNDER THESE TERMS OR TO ROTULUS, WILL NOT EXCEED THE GREATER OF THE AMOUNTS PAID TO LICENSOR, BY YOU OR BY ANYONE ELSE, FOR LICENSE KEYS THAT ARE ISSUED TO YOU OR THAT YOU BOUGHT, IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR US $50.

Nothing in these Terms or the EULA limits liability that the law does not allow to be limited, such as liability for fraud or for death or personal injury caused by negligence. Nothing in these Terms takes away rights you have under the consumer protection laws of the place where you live that cannot be changed by contract.

Governing law and disputes

If you have a problem with an order, please write to support@rotulus.io first.

These Terms are governed by the laws of the State of Utah, USA, without regard to its conflict-of-laws rules. Any dispute about these Terms or a purchase will be decided only by the state and federal courts located in the State of Utah, and you and Licensor agree to their jurisdiction. Either of us may instead bring an individual claim in a small-claims court that has jurisdiction over it, including one in the county where you live.

Changes to these Terms

We may update these Terms. Each version shows its number and effective date at the top, and the version history at the end lists the changes. A change applies only to purchases made after it takes effect. Each earlier purchase stays under the version you accepted when you paid. We announce material changes on rotulus.io and email license holders and beta testers before they take effect.

General

  • Assignment. Licensor may assign these Terms, together with the EULA, to a company Licensor controls or to anyone who takes over Rotulus, without your consent. We will post a notice of any assignment at rotulus.io and email it to license holders and beta testers. Keys issued before an assignment stay valid. You may not assign your rights under these Terms, except by a transfer described in "Transfers".
  • Entire agreement. These Terms and the EULA, including any document the EULA makes part of it, are the entire agreement between you and Licensor about your purchase.
  • Severability and waiver. If a court finds part of these Terms unenforceable, that part is enforced as far as the law allows and the rest stays in effect. If we do not enforce a term, we have not waived it.
  • Notices. We send notices about your purchase to the email address on file for your order or license. Send notices to us at support@rotulus.io.
